ISS Proxy Advisory Services, a leading independent international corporate governance analysis and proxy advisory firm, has issued a report recommending that its clients vote the GREEN proxy for the Dissident Nominees for the board of directors of the Company at the annual general and special meeting of shareholders of the Company to be held on January 3, 2013 (the AGM). The ISS report is used by institutional investors in Canada and the U.S. to assist them in making their proxy voting decisions.

In making its recommendation, ISS considered whether David Elliott, the Concerned Shareholder, made a compelling case that the change in management is warranted. ISS reviewed the information provided in the information circular (the Dissidents Information Circular) filed by the Concerned Shareholder on December 20, 2012. In recommending that its clients vote FOR the Dissident Nominees on the GREEN proxy, ISS cited, among other things, the following reasons for their recommendation:

--  The Company's Total Shareholder Return significantly underperformed the
    TSX Venture Composite Index over the previous 1, 3 and 5-year periods,
    falling by 75%, 85.3% and 93.8%, respectively;

--  The current board clearly lacks independent oversight, which raises
    concerns about self-dealing of current directors as evidenced by
    dissident allegations against current management;

--  The proposed new board comprising the Dissident Nominees will be wholly
    independent;

--  Only one management nominee appears to have relevant experience in the
    mining sector;

--  Three of the Dissident Nominees appear to have sophisticated experiences
    in mining, which will be expected to add competent technical expertise
    to the board, and which will be beneficial in helping build a new
    strategy to turn the Company around; and 

--  Dissident Director Cyrus Driver is a Chartered Accountant who is
    expected to bring more competent oversight to the Company's audit
    committee.
